This thesis examines the role of Tower Companies in the development of European telecommunications infrastructure, placing particular emphasis on the dynamics of mergers and acquisitions (M&A) and the impact of private equity investment. The research analyses how Tower Companies have become key players in the expansion of 5G and digital connectivity, explores the strategic interplay between mobile network operators (MNOs), independent Tower Companies (pure-play models), and private equity investors, and investigates the financial and operational challenges associated with sustainable growth in this capital-intensive sector.The empirical analysis focuses on five leading companies, each representing a different business model and selected according to specific criteria: Deutsche Telekom AG (operator-led),Cellnex (European pure-play model), American Tower Corporation (global pure-play model), as well as the private equity-backed firms DigitalBridge Group and Brookfield Infrastructure Partners. The comparative study combines qualitative case analysis with quantitative financial assessment, covering corporate strategies, capital structure, working capital management, and sector-specific risks such as overtrading.Results show that the rapid expansion and consolidation of the industry are driven both by operator divestitures and private equity-backed buy-and-build strategies. While the tower company business model enables high operational efficiency and attractive, recurring cash flows, it also entails significant financial risks, particularly due to high debt levels and the challenge of aligning rapid growth with prudent working capital and liquidity management. Thestudy underscores the need to balance growth objectives with robust financial management to ensure long-term stability and concludes with recommendations and perspectives for the sector.
